Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Monti platform at my.monti.works and the associated website at monti.works (together, the "Service"), operated by Nikhil Bajpai, trading as Monti ("Monti", "we", "us", "our").

Please read these Terms carefully before using the Service. By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and Monti under German law. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. Definitions

The following terms are used throughout this document with the meanings given here:

  • "Service" means the Monti web application at my.monti.works, the marketing website at monti.works, and all associated features, APIs, and background processing.
  • "You" or "User" means the individual who creates an account and uses the Service. If you use the Service on behalf of a company or organisation, "you" also refers to that entity.
  • "Organisation" means the workspace you create or join within the Service, which may contain one or more Users.
  • "Your Content" means all data, text, notes, tasks, decisions, emails, contacts, and other information you create, upload, or connect to the Service.
  • "AI Features" means any feature that uses an artificial intelligence model to generate text, suggestions, classifications, or recommendations, including the Daily Briefing, task prioritisation, decision suggestions, and draft email replies.
  • "Subscription" means the paid plan that gives you access to the full Service, billed monthly via Direct Debit through GoCardless.

2. Eligibility and Account Registration

You must be at least 18 years old to use the Service. By creating an account, you confirm that you meet this requirement. The Service is intended for individuals operating or building a business; it is not designed for personal consumer use unrelated to commercial activity.

When you register, you must provide accurate and complete information. You are responsible for keeping your account details up to date. You are responsible for all activity that occurs under your account and for keeping your password secure. If you suspect unauthorised access to your account, notify us immediately at hello@monti.works.

One account may be associated with one Organisation by default. You may join additional Organisations subject to the approval of their owner. Monti reserves the right to refuse registration or suspend accounts at its reasonable discretion.

3. Description of the Service

Monti is a decision intelligence platform for solo founders and freelancers. The current features, integrations, and capabilities of the Service are described at https://monti.works. We update the product regularly and the website reflects what is currently available. These Terms govern the relationship between you and Monti regardless of which specific features are available at any given time.

The Service is provided as a software-as-a-service platform accessible via a web browser.

4. Free Tier, Subscription, and Payment

4.1 Free tier

New accounts start on a free tier with limited access to the Service. The current limits of the free tier are described at https://monti.works/pricing. We reserve the right to adjust free tier limits at any time. Where a reduction in free tier limits would affect data you have already created, we will give you at least 30 days notice before the change takes effect.

4.2 Paid subscription

The paid subscription gives you access to the full Service. Current pricing is displayed at https://monti.works/pricing and in your account settings. Pricing is subject to change; you will be notified at least 30 days before any price increase takes effect.

Payment is processed by GoCardless via Direct Debit mandate. By subscribing, you authorise us to collect the monthly subscription fee from your nominated bank account on the billing date shown in your account. You acknowledge that GoCardless's own terms and privacy policy govern the payment relationship.

4.3 Cancellation and refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. We do not offer prorated refunds for partial months.

If the Service is materially unavailable for more than 72 consecutive hours due to circumstances within our control, you may request a prorated credit for the affected period by contacting us at hello@monti.works.

4.4 Taxes

Subscription prices are quoted as the total amount payable. Monti currently operates under the small business regulation (Kleinunternehmerregelung) pursuant to § 19 UStG; no VAT is charged on invoices. If Monti's VAT status changes, you will be notified at least 30 days in advance.

5. AI Features and Their Limitations

5.1 Nature of AI outputs

Monti uses AI models from carefully selected providers operating under Zero Data Retention agreements to generate recommendations, briefings, task suggestions, decision classifications, and draft email replies. These outputs are generated automatically based on the context you provide and the patterns the AI model identifies.

AI outputs are suggestions only. They are not professional advice of any kind, including business, legal, financial, or strategic advice. You are solely responsible for every decision you make, including decisions where you acted on an AI suggestion from Monti. Monti does not accept liability for any outcome, loss, or damage resulting from reliance on AI-generated content.

5.2 AI accuracy and errors

AI models can produce incorrect, incomplete, or misleading outputs. This is a known limitation of the technology and not a defect in the Service. You should treat all AI outputs as a starting point for your own thinking, not as authoritative conclusions. Monti does not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content.

5.3 Your data and AI processing

Your Content may be sent to AI model providers as part of generating AI outputs. This processing is described in detail in the Privacy Policy at monti.works/privacy. Zero Data Retention is enforced on all AI calls: your data is not used to train any AI model and is not retained by the AI provider after the response is returned.

5.4 No OpenAI

Monti does not use OpenAI models or services. Your data is never sent to OpenAI.

6. Your Content

6.1 Ownership

You retain full ownership of all Your Content. These Terms do not transfer any intellectual property rights in Your Content to Monti.

6.2 Licence you grant us

By using the Service, you grant Monti a limited, non-exclusive, royalty-free licence to store, process, and transmit Your Content solely as necessary to provide the Service to you. This licence does not permit us to use Your Content for any purpose beyond operating and improving the Service for your benefit, and it ends when you delete Your Content or close your account.

We do not use Your Content to train AI models, to build advertising profiles, or for any commercial purpose beyond delivering the Service.

6.3 Your responsibilities

You are responsible for Your Content. You represent and warrant that:

  • You have the right to upload and use all Content you add to the Service
  • Your Content does not infringe the intellectual property rights of any third party
  • Your Content does not violate any applicable law, including laws relating to data protection, defamation, or privacy
  • Any personal data about third parties (such as contact names and email addresses) that you add to the Service has been collected lawfully and you have a legitimate basis under GDPR for storing and processing it within the Service

6.4 Connected email and third-party data

If you connect an email account to the Service, you are responsible for ensuring you have the right to process the emails and contact data that will be imported. Monti stores this data on your behalf but does not independently verify whether you have the right to process it.

If you connect a GitHub account, you are responsible for ensuring your use of commit data within Monti is consistent with your obligations to any collaborators or employers who may have rights in that repository.

6.5 Backups

Monti performs regular automated backups of the Service infrastructure. However, these backups are for disaster recovery purposes and are not a substitute for your own data management. We strongly recommend that you maintain your own copies of any critical information you store in the Service. We do not guarantee that backups can be used to restore specific items of Your Content on demand.

7. Prohibited Use

You agree not to use the Service in any way that:

  • Violates any applicable law or regulation, including data protection laws
  • Infringes the intellectual property, privacy, or other rights of any third party
  • Involves uploading or processing content that is illegal, harmful, threatening, defamatory, or abusive
  • Involves attempting to gain unauthorised access to any part of the Service or its infrastructure
  • Involves using automated scripts, bots, or scraping tools against the Service
  • Involves reverse engineering, decompiling, or attempting to extract source code from the Service
  • Is intended to disrupt, damage, or overload the Service or its infrastructure
  • Involves reselling or sublicensing access to the Service to third parties without our written consent
  • Is intended to build a competing product by using knowledge gained from operating the Service

Monti reserves the right to suspend or terminate accounts that violate this section without prior notice.

8. Intellectual Property

The Service, including its software, design, interface, and all content produced by Monti (excluding Your Content), is the intellectual property of Nikhil Bajpai, trading as Monti, and is protected by copyright and other applicable laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose during your subscription. This licence does not include the right to copy, reproduce, distribute, create derivative works from, or otherwise exploit any part of the Service outside of its intended use.

The name "Monti" and the monti.works domain are trading identity used by Nikhil Bajpai. You may not use the Monti name or branding in any way that implies endorsement, affiliation, or partnership without written permission.

9. Third-Party Integrations

The Service integrates with third-party services. Your use of these integrations is also governed by the terms and privacy policies of those third parties. Monti is not responsible for the availability, accuracy, or conduct of third-party services.

If a third-party service changes its API or terms in a way that affects a Monti integration, we will make reasonable efforts to restore or adapt the integration but cannot guarantee continuity of third-party-dependent features.

10. Service Availability and Changes

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, infrastructure incidents, or circumstances beyond our control. We will communicate planned maintenance in advance where reasonably possible.

We reserve the right to modify, add, or remove features from the Service at any time. For changes that materially reduce the functionality you are paying for, we will provide at least 30 days' notice before the change takes effect, during which time you may cancel without penalty.

We reserve the right to discontinue the Service entirely. In that event, we will provide at least 90 days' notice and will offer you an export of Your Content before the Service is shut down.

11. Termination

11.1 Termination by you

You may close your account at any time from your account settings. On closure, your data is deleted immediately and permanently as described in the Privacy Policy. Closing your account does not entitle you to a refund of any prepaid subscription fees.

11.2 Termination by us

We may suspend or terminate your account if you breach these Terms, if your subscription payment fails and is not remedied within 14 days, or if we are required to do so by law. We will notify you by email before termination unless doing so is not reasonably practicable (for example, in the case of a serious security incident).

On termination by us for breach, your data will be deleted within 30 days. If termination is for non-payment, you will have 14 days to export your data before deletion.

11.3 Effect of termination

On termination for any reason, your right to use the Service ends immediately. Sections 6.1, 8, 12, 13, and 14 of these Terms survive termination.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by applicable law, Monti disclaims all implied warranties including those of merchantability, fitness for a particular purpose, and non-infringement.

Monti does not warrant that the Service will be error-free, that data will never be lost, that AI outputs will be accurate, or that the Service will meet your specific business requirements. You use the Service at your own risk.

Nothing in this section excludes warranties that cannot be excluded under mandatory German consumer or commercial law.

13. Limitation of Liability

To the fullest extent permitted by German law, Monti's total liability to you for any claim arising from or related to the Service is limited to the total amount you paid for the Service in the 1 month immediately preceding the event giving rise to the claim.

Monti is not liable for indirect, consequential, incidental, or special damages, including loss of profit, loss of business opportunity, or loss of data, even if advised of the possibility of such damages.

The following limitations do not apply and are not excluded by these Terms:

  • Liability for death or personal injury caused by Monti's negligence
  • Liability for fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under mandatory German law (including the German Civil Code, Bürgerliches Gesetzbuch, and the Product Liability Act, Produkthaftungsgesetz)

Important note on AI-based decisions: Monti expressly excludes all liability for outcomes, losses, or damages that arise from business decisions you make based on AI-generated recommendations from the Service. AI outputs are suggestions only. You bear full responsibility for all decisions you take.

14. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

If you are a consumer resident in an EU member state, you also benefit from the mandatory consumer protection provisions of the law of your country of residence, and these Terms do not limit those rights.

In the event of a dispute, we ask that you first contact us at legal@monti.works to try to resolve the matter informally. We will respond within 14 days. If informal resolution is not possible, disputes shall be subject to the exclusive jurisdiction of the courts of Germany, unless mandatory law requires otherwise.

The European Commission provides an online dispute resolution platform for consumer disputes at ec.europa.eu/consumers/odr. We are not obliged to participate in alternative dispute resolution proceedings but will consider doing so in good faith.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, available at https://monti.works/privacy. The Privacy Policy is incorporated into these Terms by reference. In the event of a conflict between these Terms and the Privacy Policy on a matter of data protection, the Privacy Policy prevails.

16. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will notify you by email at least 30 days before the new Terms take effect. What constitutes a material change is determined by us acting reasonably.

If you do not agree to the updated Terms, you may cancel your account before the effective date. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Monti regarding the Service and supersede any prior agreements.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • No waiver: Failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations (for example, on incorporation or sale of the business), provided this does not materially affect your rights.
  • Language: These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
